TOKYO, September 26, 2003 - At a meeting on September 26, 2003 the board of directors of CSK CORPORATION ("CSK") agreed to changes to the members of its board of directors and to implement certain reforms to the Company's business structure. The board member changes outlined below were scheduled to become effective as of September 30, 2003.
I. Change to Board of Directors
- Reasons for change
In June 2003 we implemented reforms to the CSK's management structure, which mainly involved introducing an executive officer system and reducing the number of directors in order to speed up strategic decision making and strengthen overseeing and execution systems across the CSK group. To further clarify authorities and responsibilities by separating the functions of decision making, overseeing, and execution, Yoshinobu Hayashi will resign from his position as a representative director to become an executive officer focusing on business execution. Furthermore, Yoshinobu Hayashi will become president executive officer to take overall charge of the company's business execution. Chairman & chief executive officer Masahiro Aozono will remain in charge of overall CSK Group management.
II. Structural Reform
- Integration of BPO Development Division and Contact Center Promotion division.
To strengthen cooperation and expand our BPO business, from October 1, 2003 we will integrate the Contact Center Promotion Division with the BPO Development Division, creating a Contact Center Planning Office as a unit of the BPO Development Division. We will also reorganize existing operations within the BPO Development Division into a Manufacturing and Distribution Services Division and a Financial Services Division. By establishing divisions specialized by industry in this way, we will strengthen the sales support functions of the Contact Center - an area where we have a strong competitive advantage - and be in a position to provide industry leading BPO services.
- Reorganization of IT Outsourcing Development Division
To further expand the IT outsourcing business we will integrate CSK's IT outsourcing sales divisions and sales support divisions with those of CSK Network Systems to create three new divisions: IT Outsourcing Sales, IT Outsourcing Solutions, and System Outsourcing. IT outsourcing services provided by the CSK Group will combine the on-site outsourcing services of CSK and the facility-based remote services of CSK-Net.
- Creation of Planning Office for establishment of Systems Management Services company
We plan to establish a specialist subsidiary that will consolidate the technicians needed for systems management services that are currently duplicated and spread out within the Group. This new company will lift operational efficiency within the Group while meeting changing market demand for management services. The Systems Management Services Planning Office is being created with the responsibility of making the specific preparations necessary for establishing this systems management services company.
- Creation of Planning Office for establishment of Business Services company
We plan to establish a subsidiary that contains the business support functions of CSK, with the aim of reducing costs, and raising and unifying service standards in CSK while also creating a shared services resource for the entire Group. By placing business support functions into a commercial business support services operation, we aim to accelerate the improvement of business efficiencies and boost overall group productivity. The Business Services Planning Office is being created with the responsibility of making the specific preparations necessary for establishing this new subsidiary.
