TOKYO, September 11, 2002 - CSK Corporation ("CSK"; TSE code: 9737) today announced the outcome of talks held with two Group companies currently listed on Nasdaq Japan. The talks were held in light of the August 16 announcement that Nasdaq Japan would shut down, and concluded that the two firms, NextCom. K.K. ("NextCom") and CSK Communications Corporation ("CCO"), will take the following steps.

1. NextCom
NextCom will take steps to list on the Tokyo Stock Exchange as soon as possible. Since listing on Nasdaq Japan in September 2000, NextCom has steadily increased revenues and earnings (in the year to March 31, 2002, net sales were ¥30,188 million and ordinary income was ¥2,113 million). The company has also solidified its position as a network integrator. Mitsui & Co. invested in NextCom in March this year. The two companies look forward to building operations with each other.
2. CSK Communications Corporation
CCO will become a wholly owned subsidiary of CSK through a share swap. The boards of both firms concluded a memorandum of understanding on the details of this decision. Full details regarding this share swap (the delisting of CCO) are available in a separate announcement from CSK under today's date, but the background is as follows:
·	Nasdaq Japan started with the goal of harnessing Nasdaq's outstanding concepts and market management expertise to build an open, fair, and global marketplace. CCO concluded that Nasdaq Japan would allow the company to obtain the best valuation for its businesses, centered around IT related technical support. The company thus decided when it listed on Nasdaq Japan in September 2000 not to list on other exchanges.
·	[Now that the Nasdaq market is closing,] CSK has decided [that the best approach is] to bolster its competitiveness and operational foundations by integrating CCO's specialized technical support operations with its IT service.
