TOKYO, March 15, 2002 - CSK Corporation (TSE code: 9737) announced that it decided at a board meeting held today to reorganize six CSK franchise companies, as outlined below.

1. Objectives and future operating policy

The company's traditional franchise system will be discontinued. A new system will be implemented that enables the CSK Group to accelerate the pace at which e-Services are expanded in regional areas by better leveraging capital and personnel across the Group.

2. Reorganization measures

1) CSK Hokkaido System Corporation
CSK will acquire 100% of CSK Hokkaido and operate it as a consolidated subsidiary.

2) CSK Kansai System Corporation
JICE Co., Ltd., CSK's subsidiary, will acquire 100% of CSK Kansai and operate it as its consolidated subsidiary.

3) CSK Fukuoka System Corporation
CSK will acquire 100% of CSK Fukuoka to operate it as a consolidated subsidiary. CSK Kyushu Division will be separated from CSK and merged with CSK Fukuoka.
CSK will also undertake a third-party allotment.

4) CSK will sell its shareholdings in CSK Tohoku System Corporation, CSK Chiba System Corporation, and CSK Kobe System Corporation.

5) CSK will terminate the franchise contract currently in effect with all of the above franchise companies.

This system was instituted in 1989 to support the entrepreneurship of former CSK Group employees and to help revitalize regional economies. Currently, CSK provides capital and management know-how to the above-mentioned six franchise companies to assist their business operations.
