Restructuring of BPO services business

Tokyo, January 14, 2010 — At a meeting of the board of directors held today, the directors of CSK HOLDINGS CORPORATION ("CSK") resolved to merge two wholly owned subsidiaries, CSK ServiceWare Corporation ("CSK-SW") and BUSINESS EXTENSION CORPORATION ("BEC") with a planned merger date of April 1, 2010.

1. Aim of restructuring

Currently, CSK is focusing its management resources and centering its Group growth efforts on three business areas within IT services—systems integration, systems management, and BPO (business process outsourcing)—with the aim of offering both service integration and service innovation.

BPO, as one of these business areas, is expected to realize continued growth in demand as corporations pursue operational efficiency and cost reductions. CSK-SW has been positioned as the Group's core BPO business, and has been working actively to expand operations by securing new customers and developing new services. BEC, meanwhile, provides business information services and sells IT products related to operational improvement and business support, and has a transactional history with approximately 1,500 companies in a wide range of industries.

BEC's customer base includes a considerable number of corporate strategy and planning departments, and these departments have latent needs for services relating to operational efficiency and cost reductions applicable to their entire business organization. By combining the IT products of BEC with the BPO services of CSK-SW, CSK will be able to provide comprehensive services that optimally meet customers' needs.

Through this restructuring CSK aims to become more competitive and offer higher value services. CSK Group is pursuing the customer satisfaction and providing highly optimizes services that are constantly aligned with their need.
