Tokyo, May 16, 2007 - CSK Holdings Corporation ("CSK") announced today that the CSK Board of Directors had resolved in its meeting today to table a resolution to elect an accounting auditor at the 39th Ordinary General Meeting of Shareholders to be held on June 27, 2007. The details are as follows.
Agreement of the Board of Corporate Auditors has been obtained regarding this matter.
1. Reason for election
On May 10, 2006, CSK's then accounting auditor Chuo Aoyama Audit Corporation (presently MISUZU Audit Corporation) was temporarily suspended from operating its business in Japan for a two-month period from July 1 to August 31, 2006, thus disqualifying Chuo Aoyama from serving as CSK's accounting auditor.
In line with this development, the CSK Board of Corporate Auditors appointed Brainwork CPA Firm on July 3, 2006 and MISUZU Audit Corporation on September 7, 2006 as temporary accounting auditors, based on the provisions of Article 346, paragraphs 4 and 6 of the Corporate Law, positions which they currently hold.
The temporary accounting auditors will resign from their positions at the end of the 39th Ordinary General Meeting of Shareholders to be held on June 27, 2007. Since many of the Certified Public Accountants responsible for CSK's business at MISUZU are scheduled to assume employment with Ernst & Young ShinNihon, and in order to maintain the continuity of the audit process, CSK intends to elect Ernst & Young ShinNihon as its new accounting auditor.
