TOKYO, February 28, 2005 - At a meeting today the board of directors of CSK CORPORATION ("CSK") resolved to commence preparations to shift to a holding company structure. The target date for the shift is October 1, 2005.

Through shifting to a holding company structure CSK aims to build on its strong background in IT services and take full advantage of new business opportunities arising from the development of a society that increasingly depends on IT infrastructure. By cultivating new markets and developing new services CSK intends to expand and enhance operations across the Group.

The new holding company will incorporate all the functions required of a public company and necessary for effective Group management, including finance, accounting, planning, personnel, auditing, corporate communications and investor relations functions, and will be positioned as the management body responsible for all matters relating to the overall Group. Under this new structure, Group management will be pursued with the aim of maximizing value for shareholders.

CSK plans to create the new structure using the company separation method, separating the Group into CSK, as the holding company, and a number of operating companies. The holding company will continue to be listed on the first section of the Tokyo Stock Exchange, and current subsidiaries of CSK will become subsidiaries of the holding company.

The planned shift to a holding company structure is subject to receiving approval at the annual general meeting of shareholders' scheduled for late June 2005. Further details relating to the company separation method and other aspects of the shift to a holding company structure will be announced as they become available.
